Mid-Level Associate Attorney – Energy & Infrastructure Finance
Locations: Hybrid at either New York, New York - Houston, Texas - Toronto, Canada
Salary range: 310K to 420K base
We are seeking a highly motivated
mid-level associate (3–6 years of law firm experience)
with a strong background in sophisticated financing transactions, particularly within the
energy and infrastructure sectors . The ideal candidate will be comfortable drafting and negotiating core debt documents, managing diligence, and driving deal closings with minimal supervision. Experience with
tax equity, tax credit monetization, M&A, or joint ventures
in the energy space is a strong plus.
Responsibilities
Draft and negotiate core financing documents, including
credit agreements, security packages, guarantees, and intercreditor arrangements .
Take ownership of the
closing process , including managing checklists, signature packets, funds flows, and conditions precedent to ensure seamless execution.
Collaborate with partners, clients, and specialist teams (e.g., tax and regulatory) to structure and execute
complex project finance, M&A, and joint venture transactions .
Manage diligence streams for lenders and sponsors, identifying and resolving project- and tax-driven issues unique to
energy and infrastructure deals .
Lead financing workstreams for a diverse portfolio of assets, including
renewables, power plants, transmission lines, LNG facilities, and emerging energy technologies .
Analyze and negotiate key project contracts ( EPC, O&M, PPAs ) to ensure
project financeability .
Qualifications
Experience:
3–6 years of law firm experience in project finance or asset-heavy infrastructure transactions.
Proven experience running
financing workstreams and driving deal closings .
Exposure to
tax equity or tax credit monetization transactions .
Experience with
M&A or joint ventures involving energy or infrastructure assets .
Representing sponsors, developers, or lenders in energy transactions is highly desirable.
Education:
J.D. from a top-tier law school .
Hard Skills:
Drafted and negotiated
core debt documents
(e.g., credit agreements).
Managed
diligence and closing processes
for complex financings.
Reviewed or negotiated
key project contracts
(e.g., PPA, EPC).
Experienced with
bespoke financing structures
(e.g., back leverage, warehouse facilities).
Soft Skills:
Strong
proactive communication
and
deal quarterback instincts .
Ability to work independently and take ownership of complex transactions.
