Senior Transactional Attorney (Los Angeles)

A large part of our practice sits around complex transactions, intellectual property, and advising companies operating in fast moving areas like SaaS, AI, gaming, and digital media. Role Description MGL is looking for a

Senior Transactional Attorney (Manager-Level)

to lead high level transactional work for the firm’s largest clients. The role is based in Los Angeles, but remote is fine. This is not a support role. We are looking for someone who can run deals, manage client relationships, and make judgment calls without needing constant direction. The work will include mergers and acquisitions, strategic investments, and complex commercial agreements, with a strong focus on technology companies, including SaaS, AI, and digital platforms. You will also be expected to spot and advise on related issues that come up in transactions, including employment, intellectual property, and data considerations, and to work with specialists where needed.

Key Responsibilities Lead transactions from start to finish, including M&A, financings, and strategic deals Draft, review, and negotiate complex commercial and technology agreements Serve as a primary point of contact for key clients Provide practical, business focused advice, not just issue spotting Oversee junior attorneys and coordinate deal teams as needed Identify risks across corporate, IP, employment, and data issues within transactions Work directly with founders, executives, and investors

Qualifications Significant experience in corporate and transactional law, preferably 5 plus years Proven ability to run deals independently, including M&A and high value commercial transactions Familiarity with technology companies, including SaaS, AI, or digital media Experience advising on employment and IP issues in the context of transactions Working knowledge of data privacy concepts such as CCPA and GDPR, with the ability to review basic privacy related documents and identify issues Exposure to tax issues in transactions is helpful but not required Strong drafting and negotiation skills Good judgment and the ability to give clear, practical advice
