Corporate Paralegal (Public Company )
On-Site (Sarasota, Florida)
Publicly traded technology company seeks to add a Corporate Paralegal/Legal Assistant to its corporate legal team located in the Lakewood Ranch area near Sarasota, Florida.
Your role will contribute to the legal entity management for a portfolio of over 200 international subsidiaries spanning the Americas, Europe, Asia, and Australia. Working closely with senior colleagues on the team, you will learn the nuances of domestic and international corporate compliance pertaining to the various business units and provide support to other corporate-level functions. You will provide support for external law firms servicing our ebilling systems. You will respond to KYC and other diligence requests. You will be encouraged in your professional development, and, over time, you will become a recognized subject matter expert regarding internal company structure, signing authority, and creative problem solving.
Typical responsibilities include:
• Preparing, reviewing, and filing of corporate formation documents, conversions, mergers, dissolutions, qualifications, assumed names, and annual reports;
• drafting bylaws, operating agreements, and amending prior versions;
• preparing, reviewing, and circulating written consents pertaining to subsidiary governance (e.g. officer changes, banking matters, annual meetings);
• updating/maintaining Minute Books, company files, and entity management database;
• preparing stock certificates and maintaining stock ledgers as needed;
• drafting secretary certificates and correspondence;
• coordinating signature pages as needed;
• preparing and editing intercompany transactional documents;
• coordinating requests with international corporate counsel;
• coordinating apostille/legalization for international documents;
• manage assigned corporate matters within the ebilling platform;
• interacting professionally with a diverse group of colleagues (internal and external) worldwide;
• responding timely to acknowledge inbound inquiries;
• collaborating with team members and seeking guidance on unusual or unfamiliar requests;
• providing general legal administrative and clerical support to the legal department;
• working cross functionally to support and collaborate with the Treasury, Tax, M&A, and other departments within the organization as necessary.
Qualifications:
• Minimum of 5 years of experience with corporate entities, document management, and general office administrative tasks, either in a law firm or in-house position.
• Familiar with Secretary of State databases.
• Strong understanding of different legal entities, including corporations, limited liability companies, and partnerships.
• Ability to read and understand organizational charts.
• Excellent analytical, writing and editing skills, high degree of accuracy and attention to detail.
• Familiarity working in Legal Tracker a plus.
• Proficiency in Microsoft Office 365 Suite (Word, Excel, SharePoint).
• Proficiency with Adobe Acrobat Pro.
• Ability to manage multiple tasks and prioritize as needed.
• Florida Notary or willing and able to apply.
• Associate degree in legal studies or Paralegal certification preferred.
• Able and willing to be in office in Sarasota, Florida.

Total compensation is based on several factors including, but not limited to, type of position, location, education level, work experience and certifications.
