This large international law firm focuses its practice on corporate, banking, regulatory, intellectual property and litigation. The New York office’s lawyers have extensive experience in a wide variety of securities related practice areas, including public and private mergers, acquisitions and divestitures, tender and exchange offers, and public offerings. The New York lawyers are also involved in civil litigation, arbitration, and litigation counseling. In addition the New York office serves as the hub of much of the firm's international practice, representing foreign and American clients in cross-border transactions. New associates have the opportunity to assume front-line responsibility and to deal directly with clients at an early stage in their careers. A prominent, large international law firm is seeking an experienced M&A and Private Equity Associate Attorney to join its New York team. This is a high-impact role for a Corporate - M&A Attorney with at least four years of experience handling meaningful public and private company transactions.
You will work on complex mergers, acquisitions, divestitures, joint ventures, and private equity deals for sophisticated clients, including public companies and other corporates. The practice is known for deal flow that includes cross-border components and securities-related transaction work—ideal for attorneys who want breadth, visibility, and early responsibility.

Key Responsibilities
In this Corporate - Private Equity Attorney role, you will:
• Draft and negotiate merger agreements, stock and asset purchase agreements, and related deal documentation
• Manage complex joint ventures and strategic partnerships
• Prepare and support public company transaction filings, including 8-Ks, merger proxies, and related disclosure documentation
• Coordinate transaction execution, due diligence workflows, and closing processes across internal and external teams
• Advise clients on deal structuring considerations, governance, and transaction mechanics
• Supervise, train, and mentor junior associates, ensuring quality and efficiency across workstreams
• Collaborate with attorneys across corporate, banking, regulatory, and other practices on integrated transactions

Qualifications
• Minimum of 4+ years of relevant M&A and/or private equity experience
• Experience drafting and negotiating key deal documents (merger and purchase agreements)
• Familiarity with public and private transactions for public companies and other corporates
• Experience preparing or supporting transaction-related SEC filings (including 8-Ks and merger proxies)
• Strong project management skills and ability to mentor junior team members
• NY Bar required (admitted to practice in New York and in good standing)
• JD from an accredited law school
