Job Description

*Position Summary*: This position works directly with and under the direction of the Legal Counsel for the Lewis Group of Companies. It is a wide-ranging role with paralegal and administrative responsibilities, including real estate, corporate, and regulatory matters. Must be efficient, organized, and possess attention to detail. *Real Estate/Condominium/Apartment Development* - Land Acquisitions o Title searches o Drafting Purchase & Sales Agreements with Seller’s Counsel (if applicable) o Assist LC with any Due Diligence terms and conditions o Assist LC with preparation and review of closing documents - Town Planning Board o Assist with any applications or petitions to Town Planning Boards or ZBAs including assembling all necessary paperwork and signatures. - Intercompany Agreements & Contracts o Assist with water rights and sewer access and well easements/permits including recording and maintaining electronic file o Review construction agreements, ground phasing leases and other intercompany contracts drafted in preparation for development. - Attorney General Filing for Condos o Assist LC with preparing the Public Offering Statement, Declaration, By-laws and Rules/Regulations for Development o Assist LC with Application for Condominium Approval to be filed with the AG’s office o Registrations and Amended Registrations – organize, tab all exhibits, review, cover letter, submit via mail to NH AG’s office o Electronically Record Certificate of Registration at RCRD o Maintain Registrations Book for each project o Submit updated plans and amended declaration pages to AG o Submit Yearly AG’s Annual Reports once completed and signed by Stakeholder - Ongoing Development Responsibilities o Communicate w/engineering to get As-Builts drawn and recorded and metes and bounds for the new phase of the development. o Assist LC in preparing Amended Declarations and circulate to stakeholders o Record Signed Amended Declaration and maintained electronic version on system o Respond to Common Area Modification requests from Condo Management to then assist LC with drafting Consent Votes ( o when applicable). - Sales/Title Company Communications o Coordinate with Sales, review reservation and P&S docs., generate Seller Closing Docs for LC review, send to closing agency. o Respond to Title Company or Lender questionnaires. o Coordinate estoppel certificate with Property Management and maintain copy on our system. o Receive Settlement Statement, review, suggest changes then circulate for Controller’s review. o Coordinate and monitor real estate licensing including Brokers license and maintain up to date payments for all dues/fees. o Ability to handle real estate closings if/when needed o Request Payoff from company construction financing bank(s) - Apartment Responsibilities o Assist LC and GM with any applications before Town Planning Boards o Assist LC with drafting leases, rules/regulations and property specific addendums for new apartment developments. *HAWC/AAWWR/Regulatory Bodies:* - Assist LC with maintaining HAWC and AAWWR franchise map - Assist LC with water rights easements including recording and maintaining electronic file - Assist LC with preparing for hearings and technical sessions at PUC - Maintain electronic file (pleadings, exhibits, discover, orders etc.) and any hard copy file (trying to limit hard copies whenever possible) *Court Matters*: - Maintain legal calendar of events - Organize and file paperwork once prepared by LC on evictions, collections etc. including traveling to various courthouse locations or sheriff’s departments. *Corporate:* - Maintain Corporate Books for each company - Maintain Corporate Minutes for each company - Assist LC with Employee Handbook and policies and procedures for each company - Record executed Appointment of Agents & Powers of Attorney and maintain copies in each company’s corporate books. Follow through and distribute the Appointment of Agents and Powers of Attorney to each companies Controller for them to distribute to the respective employee. - Acquire signatures from Officers and stakeholders as needed and disperse as required *Misc. Legal Duties*: - Answer phones for legal - Distribute Incoming legal correspondence. - Code and approve any legal billing in Timberline - Outgoing Correspondence: create for review/edit and send if approved by LC including enclosures - Assist LC with maintaining legal dept. publications and resources - Maintain legal department calendar and task list and drive items to completion. - Daily Tasks as requested by LC - Assist LC with communications to third parties that are not otherwise covered above (e.g. planning boards, outside vendors, etc.) *Position Requirements*: - Background in real estate and sales - Attention to detail combined with a can-do attitude - Ability to prioritize and take ownership of multiple assignments and see to completion - Experience reviewing written text for typographical consistency, grammar, and spelling. - Knowledge of or experience with drafting, interpreting, revising or otherwise working with contracts. - Proficient organizational and time management skills - Self-motivated, willing to learn new areas, and able to learn from mistakes - Ability to handle confidential information appropriately and discreetly - Problem solver and creative thinker willing to present new ideas. - Valid Drivers License - NH Notary public not required but must be obtained upon hire. - Professional appearance and judgment - Excellent oral and written communication skills. *Education:* - Certificate, associates or bachelors degree in paralegal studies or related field of real estate. *Computer Skills:* Proficiency with MS Office applications including Word, Teams, Sharepoint and OneNote; Foxit PDF Editor and ability to edit PDF documents and convert files seamlessly. *Experience:* - 3-5 years of previous relevant experience Job Type: Full-time Pay: $20.00 - $30.00 per hour Education: * Associate (Required) Experience: * Real Estate / Paralegal: 3 years (Preferred) License/Certification: * Paralegal Certificate (Preferred) * New Hampshire Notary (Preferred) Work Location: In person
