Join to apply for the Vice President, Transaction Execution role at MUFGThe Transaction Execution team is part of the Global Corporate and Investment Banking Division of MUFG. The team works with the EMEA Legal, Relationship Management and Capital Markets teams to bridge legal and commercial expertise and deliver structuring, advisory and execution services to MUFG’s corporate clients.Main purpose of the roleThe Transaction Execution team covers loan transactions for leveraged and investment grade corporate borrowers using LMA-based, US cov-lite style documentation and/or hybrids. Financings include event-driven and flow/relationship facilities (bridge, term and revolving credit). Syndicated transactions (including underwritten and best efforts) form the majority, with a minority of bilaterals.This role focuses on (i) delivering differentiated client service; (ii) managing the negotiation of legal documentation for loan financing transactions (including mandate/commitment documents, facility agreements and intercreditor agreements as applicable); and (iii) assisting with structuring considerations and identifying risks or issues in the broader transaction documentation or process.We are seeking a Vice President with a background in leveraged finance (working with sponsors or corporates) to expand the team’s specialism in working with sub-investment grade corporate clients.Key responsibilitiesLead transaction execution service (from pitch phase to completion) and negotiate financing documentation with corporate borrowers and their external counsel and/or other arranging banksAdvise on effective structuring of transactions; demonstrate knowledge of corporate structure, guarantee, security, subordination and leakage issuesReview documentation at term sheet and credit agreement stages for compliance with MUFG’s internal policies and best practice standards, and to align with credit approval documentationAct as a trusted advisor and build relationships with MUFG’s existing and new corporate clientsEnsure consistency of documentation standards; serve as central point of excellence for emerging market trends and documentation-related internal escalation processesIn conjunction with the EMEA Legal team, identify legal and documentation process risks to continuously improve the control architecture around documentationDevelop junior staff and conduct internal training on documentation issues in syndicated loans and best practices in executing transactionsSkills and experienceExperience as a qualified finance lawyer (with leveraged finance specialization) in a law firmExperience in an in-house environment, either as a secondee or in a legal or execution roleUp-to-date market experience in leveraged finance (for corporates and/or sponsors)Knowledge of high yield bond processes helpfulPitching experience helpfulFunctional / Technical Skills and CompetenciesAbility to spot issues, think creatively and devise practical solutions that meet business objectivesAbility to respond to internal and external stakeholder requests in fast-paced, deadline-driven dealsAbility to be proactive and anticipate issues with legal documentationAbility to simplify complex issues and communicate clearlyAbility to balance further analysis with timely decisions under commercial pressureAbility to build relationships with internal stakeholders, management and clients to inspire confidenceAbility to work independently while engaging Head of team, senior management and EMEA Legal on complex issues and riskCoaching mindset and aptitude for disseminating knowledge among colleaguesInnovative mindset and willingness to embrace AIEnergetic, collaborative and responsive team playerAbility to prioritise, multi-task and organiseHigh integrity and professionalismProficiency in at least one European language other than English (preferred)Education / QualificationsUniversity level qualifications or equivalentPersonal requirementsExcellent attention to detail and accuracyExcellent interpersonal skillsResults driven with strong accountabilityProactive, motivated approachAbility to operate with urgency and prioritise work accordinglyStrong decision-making ability and sound judgmentStructured and logical approach to workStrong problem-solving skillsAbility to manage large workloads and tight deadlinesCalm under pressureWillingness to work occasional off-hours remotely to respond to emails and requests if neededWe are open to considering flexible working requests in line with organisational requirements.MUFG is committed to embracing diversity and building an inclusive culture where all employees are valued, respected and their opinions count.
