This is a unique opportunity for a commercially minded, pragmatic, and strategically focused lawyer who thrives in high‑growth, PE‑backed environments. You’ll operate as a trusted partner to the Executive Team and Board, shaping our legal frameworks across corporate, commercial, employment, data protection, and M&A activity.You will take full ownership of Agilio’s legal landscape, establishing foundational processes, supporting strategic decision‑making, influencing organisational governance, and enabling the next stage of our scale and international expansion. As our inaugural Director of Legal, you’ll balance hands‑on legal execution with strategic oversight while partnering closely with senior leadership, external legal advisors, and private equity investors.Key ResponsibilitiesCorporate Legal & GovernanceAct as primary legal advisor to the Executive TeamLead all corporate governance, statutory compliance, and recordsSupport private equity stakeholders on governance and regulatory mattersAdvise on group structure, corporate re‑organisations, and legal entity optimisationCommercial Contracts & SaaS LicensingOwn and standardise all commercial agreements, including MSAsLead contract negotiations for enterprise‑level and strategic customersEnhance contract templates for scalability and international useEnsure robust IP protection across products and servicesM&A and Post Merger IntegrationPartner with internal M&A team, due diligence providers, and external counsel on acquisitionsDrive post‑completion legal actions, integration, and issue resolutionSupport legal structures and documentation ahead of future exit eventsEmployment & People Legal SupportWork closely with the CHRO on employment‑related matters requiring legislative interpretationProvide legal insight on complex employee relations casesCoordinate external employment law guidance for high‑risk/technical mattersRisk, Compliance & Data ProtectionOwn and implement Agilio’s legal risk frameworkEnsure compliance with GDPR and international data protection regimesBuild strong processes for managing Subject Access RequestsPrivate Equity & Investor InteractionServe as legal partner to PE investors and their legal counselSupport financing, covenants, and shareholder agreements with the CFO and external advisorsContribute to refinancing or exit preparationKey Skills & ExperienceEssential7+ PQE solicitor (England & Wales)Strong corporate & commercial background – ideally within SaaSAbility to operate as the first in‑house Director of LegalExcellent commercial judgementDesirablePrevious experience in PE‑backed or high‑growth tech environmentsInternational legal exposurePublic sector contracting (e.g., G‑Cloud)SaaS regulatory knowledge & data protection expertiseM&A transaction involvementAdditional InformationJob type: Home‑based with occasional travel.Salary: Competitive salary and generous benefits.BenefitsIncome protectionLife assuranceEnhanced pensionHealth cash plan28 days annual leave + bank holidaysSick pay schemeA range of benefits available through our Agilio Flex portalIf you feel you have what it takes to join our team, we look forward to receiving your application.If you are interested in applying, please email your CV along with a cover letter to central.people@agiliosoftware.com. #J-18808-Ljbffr
