Job Overview: The Principal Corporate Secretary Specialist is responsible for overseeing and maintaining the registries and corporate records of subsidiaries and affiliates across multiple jurisdictions within the Legal Department.

Key Tasks and Responsibilities: Maintain corporate records, including creating and updating information databases and legal files for all existing entities. Prepare corporate documentation, such as minutes of shareholders’ meetings, board and shareholder resolutions, and Powers of Attorney across multiple jurisdictions. Support and coordinate meetings of boards of directors and shareholders, ensuring governance compliance and serving as corporate secretary for both virtual and in person meetings. Coordinate and ensure timely filing of annual reports and statutory registrations in various jurisdictions. Assist with auditor inquiries and support audit related documentation needs. Facilitate corporate transactions, including incorporations, dissolutions, mergers, share transfers, and director/officer changes across jurisdictions. Manage notarization, legalization, and translation of documents as required globally. Administer Parent Company Guarantee requests and support the related internal approval workflows. Draft and maintain corporate governance protocols, manuals, and template documents, and contribute to the development of best practices in corporate housekeeping. Create and maintain organizational and structure charts for the corporate group. Liaise with headquarters, branches, subsidiaries, and external counsel worldwide to coordinate corporate and legal matters. Support due diligence and risk mitigation activities for complex project bids in multiple jurisdictions. Responding to KYC (Know Your Customer) questionnaires from banks, insurance companies, and other financial institutions. Manage legal fee processes and engagement procedures for external law firms. Train and work within house legal tools and databases (e.g., hCue, TyMetrix), including updating entity information, uploading documents, and generating reports. Support transactional due diligence projects and other special corporate projects.

Essential Qualifications and Education: Strong general understanding of legal entities and corporate organizational structures. Excellent attention to detail and accuracy. Four to six years of relevant experience is essential. Sound analytical and problem-solving skills, with the ability to interpret regulations and internal policies. Proven ability to collaborate effectively with individuals from diverse cultural backgrounds and across different countries. Strong written and verbal communication skills. Ability to handle confidential information with discretion and professionalism. Strong organizational and time management skills, with the ability to prioritize competing deadlines. Team oriented mindset, with the ability to collaborate effectively across legal, finance, tax, and other business departments. Proficiency in Microsoft Office tools, especially Word, Excel, PowerPoint, and SharePoint and experiences with entity management Systems (hCue). Experience, preferably working in a legal department, energy sector and multicultural work environment.
