Corporate Legal Counsel

EMEA Recruitment is proud to support a leading international FMCG business in its search for a Corporate Legal Counsel.

Reporting to the Head of Legal Corporate, is the opportunity to shape and implement the company’s corporate governance frameworks and operational processes as the organisation continues to scale.

You will play a pivotal part in strengthening governance across a complex multi-jurisdictional group structure. You will take ownership of entity and subsidiary management, enhance governance processes, and introduce structure and clarity to corporate record management. Acting as a trusted advisor to various stakeholders, you will combine strategic oversight with a hands-on, delivery-focused approach.

The role covers a broad range of corporate legal matters, including company secretarial activities, intra-group transactions, M&A support, and ongoing entity governance. You will work closely with internal stakeholders and external advisors, contributing to strategic initiatives while ensuring governance frameworks remain scalable, aligned, and fit for purpose.

Alongside governance responsibilities, you will support day-to-day legal operations, including reviewing routine commercial agreements and advising on Dutch corporate law requirements (including UBO registrations and KYC/AML matters).

Key Responsibilities Develop, implement, and maintain corporate governance frameworks, policies, and processes across multiple jurisdictions Own and manage legal entity and subsidiary governance across the international group Drive effective use and optimisation of the internal information management system Coordinate governance processes, including shareholder approvals, resolutions, and subsidiary compliance matters Advise on corporate structuring, intra-group transactions, and M&A activity Support compliance with Dutch corporate law requirements, including UBO and KYC/AML obligations Draft and review internal governance documents, resolutions, and agreements Review and negotiate routine commercial agreements, identifying key risks and escalating where appropriate Act as a key business partner to Finance and Tax, providing pragmatic and commercially focused legal advice Collaborate with external counsel across relevant jurisdictions

Candidate Profile Qualified lawyer with a minimum of 4 years’ PQE in corporate law (in-house and/or private practice) Strong experience in corporate governance, entity management, and general corporate advisory work Knowledge of Dutch corporate law preferred; European civil law experience advantageous Experience working across civil and/or common law jurisdictions Highly organised, adaptable, and comfortable working independently Confident developing governance frameworks autonomously and implementing scalable processes
