Job Description
As General Counsel, you will serve as the company’s senior legal executive and trusted strategic advisor, responsible for overseeing all legal, compliance, and governance matters across the organization. You will partner closely with the Executive Leadership Team and Board of Directors to support business growth, safeguard the company’s interests, and ensure operations are conducted with integrity, transparency, and full regulatory compliance.
This role requires a forward-thinking legal leader who combines strategic vision with sound judgment, strong business acumen, and the ability to guide complex decisions in a dynamic, regulated environment.
Pay range: CA$225,000.00/yr - CA$300,000.00/yr
Key Responsibilities
Provide expert legal counsel to executive leadership and the Board of Directors on complex corporate, regulatory, and operational matters. Anticipate risks and develop practical, solutions-oriented strategies to enable sustainable business growth.
Oversee governance frameworks and Board processes, ensuring accurate records, policy compliance, and best practices in corporate accountability and transparency.
Ensure full adherence to all applicable laws, regulations, and industry standards. Maintain open and proactive communication with regulators and advise leadership on emerging legal or compliance developments.
Lead or support strategic transactions including mergers, acquisitions, joint ventures, and financing activities. Draft, negotiate, and review commercial, corporate, and vendor agreements to protect company interests and mitigate risk exposure.
Direct the organization’s litigation and dispute resolution strategy, manage outside counsel, and drive cost-effective outcomes aligned with business objectives.
Lead, mentor, and develop the in‑house legal team while effectively managing external counsel relationships and budgets. Foster a culture of collaboration, accountability, and ethical excellence.
Design and oversee internal compliance programs, training, and ethical standards that promote a culture of integrity, responsibility, and professional conduct across all levels of the organization.
Collaborate cross-functionally with executive and operational teams to align legal priorities with business goals, ensuring legal considerations are integrated into key strategic decisions.
Qualifications & Experience
Education:
Juris Doctor (JD) or equivalent law degree. Member in good standing of the Ontario Bar.
Experience:
Minimum 7+ years of progressive legal experience in corporate, commercial, and/or regulatory law, ideally within an in-house counsel role in a regulated industry.
Demonstrated success advising senior management on complex legal, compliance, and strategic business issues.
Proven experience leading legal teams and managing external counsel.
Strong negotiation, communication, and leadership skills, with the ability to balance strategic insight and operational execution.
Deep understanding of corporate governance, risk management, and compliance frameworks.
Preferred Experience
Background in the energy sector or a related regulated industry.
Experience with M&A and strategic transactions in the energy or infrastructure space.
Familiarity with commercial contracts and regulatory structures specific to the energy or power markets.
