Reconciliation Tasmania is wishing to recruit two new Directors onto its Board, inclusive of a Board Treasurer. Applications for these positions are sought from both Aboriginal and Non-Aboriginal people who reside in Tasmania.

We are the state reconciliation council for Tasmania, and a member of the Australian Reconciliation Network led by Reconciliation Australia
The Board of Reconciliation Tasmania
The Reconciliation Council of Tasmania Ltd has been operating as a limited company. It is a not-for-profit organisation and is registered with and regulated by the Australian Charities and Not-for-profits Commission (ACNC). Board Membership
Board members are volunteers who are deeply committed to addressing social injustice. They work to also undertake ongoing learning about the invasion and colonisation of Tasmania, the impact of structural marginalisation and racism, intergenerational trauma and the culture and achievements of Tasmanian Aboriginal people. As well as attending and contributing to meetings and decision-making, when available, Board members:
Support local and state reconciliation activities through their presence
Support Reconciliation Tasmania member initiatives
Represent Reconciliation Tasmania at key events such as the launch of Reconciliation Action Plans by organisations
Attend National Reconciliation Week events and NAIDOC Week events.
Skills and Qualities Sought
The Board has a comprehensive skills matrix. Directors currently have strong backgrounds in leadership, management, education, legal expertise and land and resource management.
The Board is wishing to recruit two new Directors. One is a Board Treasurer with an Accounting / Finance background. It is envisaged that the Treasurer will chair the Finance Audit, Risk and Compliance Committee, once they are established within the Board. The Finance Audit, Risk and Compliance Committee meets 4-5 times per year.
The Board is also seeking another new Director with experience in one or more of the following areas:
Contemporary governance and strategic planning
Marketing/Communications
Funding and/or Philanthropy
The Role of the Board of Reconciliation Tasmania
In fulfilling its constitutional responsibilities, the Board of Reconciliation Tasmania:
Provides and monitors the strategic direction of Reconciliation Tasmania, ensuring the development of the Strategic Plan.
Sets and monitors the cultural direction and expectations around behaviours and decision-making within Reconciliation Tasmania.
Monitors, evaluates and reviews the operational and financial position and performance of Reconciliation Tasmania.
Approves the budgets and CEO’s Annual Plan ensuring adequate, accurate and timely information being provided to the Board.
Oversees the design and review of policies, associated processes and codes of conduct, ensuring alignment to legal compliance responsibilities.
Identifies, monitors and mitigates against risks to Reconciliation Tasmania.
Reviews and approves internal compliance and control systems and codes of conduct.
Appoints and oversees the CEO and evaluates the performance of the CEO receiving reports on the performance of Reconciliation Tasmania’s strategies and objectives and their attainment.
Ensures that the organisation’s financial results are appropriately and accurately reported in a timely manner.
Monitors and reviews member and stakeholder engagement.
Ensures sound board succession planning including strategies to ensure the board is comprised of individuals who are able to meet the responsibilities of directors of the organisation.
Term of Office
Directors hold office from the date of their appointment to the date three (3) years following. At the conclusion of their term, the Board may re-appoint them for a further term. An Appointed Director can only serve a maximum of nine years as a Director.

Board Treasurer Role and Responsibilities
The Treasurer is responsible for overseeing the financial administration of Reconciliation Tasmania by reviewing financial policies and procedures and financial reporting with the Board. They advise the Board on financial strategy.
The Treasurer leads and Chairs the Finance, Audit, Risk Committee (FARC) of the Board, established to support the CEO and Board in their financial management and oversight. The Treasurer, in collaboration with the CEO, works on behalf of the Board to ensure that:
Current financial records are maintained, as well as an audit trail for all transactions.
The organisation has fraud and theft protections in place.
There are systems, procedures and processes in place to support safe custody of finances and prompt banking of funds.
The acquittal of grant funds is undertaken by the CEO with strong and transparent frameworks.
The Board receives regular, comprehensive financial reports through the FAR Committee and CEO that align to best financial principles and Standards.
The organisation is compliant with financial regulations and meets its compliance obligations.
The Board is presented with an Annual Budget, based on the best available data for budget assumptions.
The CEO is supported to ensure that the budget is maintained and reported against regularly.
Financials are prepared for and presented to the appointed Auditor as required.
The Auditor reports to the Board annually.
The Risk Register is reviewed annually and presented to the Board to ensure that appropriate mitigation measures and controls are implemented.
Desirable Skills and Attributes
It is hoped that the Board Treasurer will:
Have an excellent understanding of financial management.
Understand the challenges, constraints and possibilities of small not-for-profit entities.
Be familiar with the compliance obligations of, but not limited to, the ACNC, the ATO.
Have high capacity to collaborate with the CEO, Bookkeepers, the FAR Committee and the Board.
Maintain strong communication with the Board Co-Chairs and the CEO.
Enjoy sharing and seeking advice and seeing the effective implementation of system & process improvements.

Like all Director positions on the Board of Reconciliation Tasmania, the position of Treasurer is an unpaid voluntary position. All Directors are deeply committed to being a part of the journey to reconciliation in Tasmania and they contribute generously in diverse ways. The Treasurer makes a very specific and structured contribution.
