Tecnimont Services S.P.A (MAIRE Group) is currently seeking a Legal Counsel.The ideal candidate providing assistance to Sales Department, and the Procurement & Sub-Contracting Department with respect to contracts and agreements with Clients, Supplier and Sub-Contractors.Following the guidelines of the Head of Department, the Legal Counsel has the following Main responsibilities:Reviewing the legal and contractual parts of the instructions to tenderers, or bid request documentation, issued by Clients, contributing to the evaluation of the risk profiles of the bids, both related to international private tenders and to public tenders according to legislative decree 36/2023.Drafting and negotiating a wide spectrum of contracts related to the different business lines of the Company (Green Power and Asset, O&M CCUS and Revamping, Digital & Energy Services) such as, by way of example, EPC Contracts, Supply Contracts, Sub-Contracts, Intercompany Agreements with companies of Maire Group.Reviewing the legal aspects of the confidentiality agreements with Clients, Suppliers, Sub-Contractors and Partners, providing support to the Sales and Procurement & Sub-Contracts departments when negotiating such agreements.Analyzing in detail the drafts of contract issued by Clients, highlighting the main risks and relevant mitigation measures to be adopted, and drafting the relevant comments to be incorporated in the offer, including the inputs provided by the other departments involved by the Legal Counsel.Drawing up, when necessary, alternative contract drafts to be submitted to Clients.Providing and coordinating the competent Company departments with the parts of the bid documents of their interest in order to collect the relevant comments concerning fiscal, administrative, financial, insurance, shipping and regulatory aspects.Taking part, as per Company procedures, in the Kick-off meeting, Risk Analysis and Bid Review Meetings.Taking part in negotiations with Clients, Suppliers and Sub-Contractors.During the initiatives with Partners/Nominated Subcontractors, in collaboration with the responsible departments, drafting the necessary agreements in order to establish the cooperation (confidentiality agreements, memorandum of understanding, bidding agreements, consortium agreements, joint venture agreements, etc.), including the final subcontracting/supply contracts, or analyzing the drafts of agreement propose by Partners/Nominated Subcontractors, commenting on them as appropriate, and participating in negotiations with the aforementioned third parties; After contractsaward, interfacing with Contracts Managers nominated by Contract Management Department in order to facilitate their step in on projects with regard to contractual aspects, in line with the Company procedures for projects’ hand-over to the Contract Management Department.ExperienceStrong experience within major engineering companies, EPC Contractors, Suppliers, Sub-Contractors within either Oil &Gas or Renewable Energy industry, working in international markets, in the domestic market or in law firms dealing with Oil & Gas or Renewable Energy transactions.Personal Features:University Law Degree (minimum PQE +5 years).Specific competences in relation to EPC Contracts (mandatory), Supply Agreements, Sub-Contracts.Fluent in English speaking and writing. French language is a plus.Track-record of handling complex commercial transactions.Availability to travel abroad.Team-working skills, well-developed communication, business-minded and solution orientExcellent IT (Excel, PPT, Word) and analytical skills.Self-motivation and direction, with a strong bias toward timely performance and problem resolution.
