Job Description: Senior Legal Counsel – SaaS / Technology Contracts

> Location: Gurgaon, India (Onsite)

> Shift: US Working Hours (5:30 PM – 2:30 AM IST)

US Litigation Exp. Must

> The ideal candidate will have extensive experience in drafting, reviewing, negotiating, and managing technology and SaaS contracts for global IT/software companies. This role requires excellent commercial judgment, outstanding communication skills, and a practical problem-solving mindset aligned with fast-paced business environments. Key Responsibilities

> • Draft, review, negotiate, redline, and finalize a wide range of technology and commercial agreements, including: o SaaS Agreements o Master Service Agreements (MSAs) o Non-Disclosure Agreements (NDAs) o Statements of Work (SOWs) o Technology Licensing & IP Agreements (must-have) o Vendor and Procurement Contracts

> • Mitigate legal and contractual risk while ensuring business agility and deal velocity.

> • Support India and US compliance functions — including data privacy, governance, and internal controls. • Provide clear, actionable legal advice to leadership, product, sales, and operations teams.

> • Maintain organized version control, contract repositories, and documentation standards.

> • Collaborate closely with US legal and business teams during overlapping working hours.

> Qualifications and Experience

> • 8+ years of experience in corporate legal roles, preferably with IT or SaaS product companies.

> • Proven hands-on expertise in contract drafting, negotiation, redlining, and risk interpretation.

> • Strong command over technology contracting and intellectual property terms.

> • Exceptional written and verbal communication skills with a consultative approach.

> • Familiarity with India and US compliance frameworks (data protection, export control, privacy laws).

> • Ability to work onsite in Gurgaon during US business hours (mandatory). What You’ll Gain
