Purpose of the Role
The position is responsible for ensuring statutory compliance, corporate governance, and comprehensive legal oversight of the organization. The role encompasses company secretarial functions, contract management, litigation handling, regulatory advisory, and strategic support on transactions, while safeguarding the organization against legal and compliance risks.
Responsibilities:
Function Specific
Ensure compliance with the Companies Act, 2013, Foreign Exchange Management Act, 1999 (FEMA), and other applicable statutory frameworks.
Independently manage Board Meetings, Committee Meetings, and General Meetings, including drafting notices, agendas, resolutions, and minutes.
Maintain statutory registers, records, and secretarial documentation.
Oversee filings and compliance requirements with the Ministry of Corporate Affairs (MCA) and Registrar of Companies (ROC).
Maintain and manage legal records, including key agreements, licenses, permissions, and regulatory approvals.
Draft, vet, and negotiate commercial contracts and agreements.
Manage litigation matters and coordinate with external legal counsel and advisors.
Provide advisory on corporate governance, compliance frameworks, and legal risk mitigation.
Support M&A transactions, including due diligence, transaction structuring, negotiation, and documentation.
Provide legal oversight during deal execution and post-acquisition integration.
Advise on antitrust and competition law matters, including mergers, joint ventures, and investigations relating to anti-competitive practices.
Provide guidance on product liability, safety regulations, and recall-related compliance.
Design and conduct legal and compliance training programs for internal stakeholders.
Promote awareness of regulatory developments and governance best practices.
Requirements of profile:
Education / Qualification:
Qualified Company Secretary (Member of ICSI) and LLB; LLM preferred.
Number of years of past Work Experience:
6–12 years of relevant experience in corporate secretarial and legal functions, preferably in manufacturing or corporate environments.
Skills & Competencies
Strong knowledge of corporate laws, FEMA, competition law, and regulatory frameworks.
Expertise in drafting, contract negotiation, and documentation management.
Sound understanding of litigation processes and risk management.
High degree of integrity, discretion, and professional judgment.
Strong stakeholder management and communication skills.
