Job Title: Senior Manager / Associate Vice President – Legal
Location:

Key Responsibilities
Transactions
Suitable experience in handling the legal aspects of Private Equity investment transactions, including Pre-IPO investment, structuring, documentation, and due diligence
Managing legal aspects of capital market transactions, including IPOs, rights issues, QIPs, preferential allotments, and ancillary regulatory and legal queries
Drafting, reviewing, and negotiating offer documents, transaction documents, and other capital markets and research documentation
Advising on SEBI regulations, Companies Act compliances, stock exchange requirements, and other applicable regulatory frameworks relating to capital markets activities including stock broking, research analyst and merchant banking
Coordinating with merchant bankers, lead managers, external counsels and other parties in relation to capital markets transactions
From time to time managing legal work related to real estate investments, including title due diligence, transaction documentation, and coordination with external counsels
Drafting, reviewing, negotiating, and managing client-facing and vendor-facing agreements for all Group products and service offerings (i.e. Portfolio Management, Broking, Alternate Investment Fund, Mutual Fund, Investment Advisory, Wealth Management, etc.), both domestic and offshore
Supporting and advising the wealth management business including client complaints and amendments
Dispute Management and Intellectual Property
End-to-end dispute and litigation management, including coordination with external advocates, tracking cases, and strategy inputs
Managing the Group’s trademarks and other IP matters
Regulatory and Legal Advisory
Providing ongoing legal and regulatory advisory support to business teams
Advising on SEBI, RBI, Companies Act, FEMA, and other applicable financial sector regulations
Identifying legal and regulatory risks and requirements and proposing and implementing practical measures to address the same
General Corporate
Drafting, reviewing, negotiating, and managing agreements relating to general corporate activities across departments such as HR, Administration, IT, Marketing, and Operations
Ensuring proper documentation, contract lifecycle management, and adherence to internal policies
Team Management
Training and supervising any assigned resources, as required
Desired Qualifications & Experience
L.L.B. from a reputable university; L.L.M. is an added advantage
7 years plus of post-qualification experience, preferably in NBFCs, merchant banking firms, financial services companies, investment funds, or reputed law firms
Strong experience in wealth management or merchant banking and capital markets transactions, including IPOs and other public market issuances
Strong experience in transactional work, corporate contracts, and regulatory advisory
Exposure to VC funding, investments, and pre-IPO transactions is highly desirable
Key Skills
Strong drafting, negotiation, and contract management skills
Sound understanding of Indian corporate laws, SEBI regulations, capital markets framework, and dispute resolution mechanisms
Ability to manage multiple stakeholders including external counsel and consultants
Commercially pragmatic and solution-oriented approach
Excellent communication and interpersonal skills
