Position Overview
We are seeking a qualified and detail-oriented Company Secretary (CS) to oversee the
company’s legal, regulatory, and corporate governance framework. The ideal candidate will
ensure full compliance with statutory obligations under the Companies Act and other
applicable laws, manage board and committee processes, and maintain strong corporate
governance practices across all business verticals and subsidiaries.

Key Responsibilities
Statutory Compliance & Governance
• Ensure compliance with the Companies Act, SEBI, FEMA, and other applicable
corporate laws and regulatory frameworks.
• Manage and maintain statutory records, registers, and filings for the company and its
subsidiaries.
• Coordinate and conduct board meetings, general meetings, and committee meetings,
including drafting agendas, minutes, and resolutions.
• Monitor changes in relevant legislation and regulatory environment and ensure timely
updates and adaptations.
ROC Filings & Corporate Documentation
• Prepare and file all necessary forms and returns with the Registrar of Companies (ROC)
and other authorities.
• Draft, review, and vet legal agreements, board resolutions, MOAs/AOAs, shareholder
agreements, and other company documents.
• Ensure proper maintenance of statutory books and company records.
Legal Support & Risk Mitigation
• Support contract management and provide legal input on corporate transactions,
mergers, acquisitions, and investments.
• Ensure risk mitigation by maintaining regulatory hygiene and liaising with legal advisors
as needed.
• Lead internal governance processes and compliance audits in coordination with legal
and finance teams.
Secretarial Support to Group Entities
• Oversee compliance and corporate governance of group companies, SPVs, and
overseas entities (if applicable).
• Align secretarial practices across business verticals (EPC, IPP, Manufacturing).
Key Requirements
• Qualified Company Secretary (ICSI Membership)
• 2–5 years of experience in a mid to large-sized organization, preferably in the
infrastructure, renewable energy, or manufacturing sectors
• Strong understanding of corporate, securities, and business law
• Experience in IPO processes will be highly preferred
• Excellent drafting, communication, and organizational skills
• Ability to independently handle multiple compliance timelines and board-level
interactions
• Exposure to project financing, M&A, or international structuring will be an added
advantage
