What We Need:

A Master’s degree in Law and an active advocate license recognized by the Indonesian Bar Association (PERADI).

Extensive experience in commercial law, particularly with foreign investments in Indonesia.

Proficiency in both English and Bahasa Indonesia.

A deep understanding of cultural nuances and a proactive approach to legal problem-solving.

A commitment to providing human-centric legal services that go beyond the traditional scope, supporting not just the businesses but the people behind them.

Key Responsibilities: 1. PT PMA Establishment and Corporate Structuring:

Guide foreign-owned companies through the entire process of PT PMA establishment, ensuring compliance with Indonesian foreign investment laws.

Assist in structuring companies to meet legal requirements while optimizing operational and tax strategies.

2. Licensing and Permits Acquisition:

Obtain all necessary business licenses and permits through the Online Single Submission (OSS) system, tailored to the specific business activities as classified under the Indonesian Standard Industrial Classification (KBLI).

Obtain all relevant operational licenses for clients, including but not limited to PBG and SLF certificates, medical licenses, liquor licenses, and environmental permits.

Ensure timely renewal and compliance with the regulatory requirements of these licenses to prevent business interruptions.

3. Legal and Regulatory Advisory:

Provide expert advice on legal matters relevant to commercial law, including drafting, reviewing, and negotiating complex contracts and agreements.

Ensure compliance with applicable laws and regulations affecting the business operations of clients, particularly in areas such as commercial transactions, corporate governance, and business structuring.

4. Contract Management:

Oversee the entire lifecycle of contract management from initiation through negotiation, execution, and renewal.

Handle a variety of commercial agreements such as service agreements, lease rights agreements, partnership agreements, and supply contracts, ensuring that they safeguard the interests of the client.

5. Risk Management and Mitigation:

Identify potential legal and operational risks in business operations and propose mitigation strategies to manage exposure, including conducting comprehensive land due diligence.

Provide guidance on legal risk aspects of various business transactions and operational decisions.

6. Corporate Governance and Business Health Checks:

Conduct regular reviews and audits of corporate governance practices to ensure compliance and identify areas of improvement.

Offer 'Business Health Checks' that assess the overall compliance and governance health of client businesses, providing insights and recommendations for enhancement.

7. Immigration and Work Permits:

Provide advisory services on immigration law related to obtaining resident and work permits, ensuring clients and their employees comply with Indonesian immigration regulations.

Navigate the complexities of visa applications, work permits, and other necessary documentation for expatriates.

8. Client Relationship Management:

Build and maintain strong relationships with clients, offering tailored legal solutions that align with their business objectives.

Act as a strategic partner to clients, advising them not just on legal issues but also on potential business impacts.

9. Legal Project Management:

Manage multiple legal projects simultaneously, ensuring timely delivery and compliance with deadlines.

Coordinate with other departments or external consultants to ensure a comprehensive approach to legal challenges and business strategies.

10. Dispute Resolution and Mediation:

Facilitate non-court dispute resolution processes, including mediation and negotiation, to resolve conflicts without the need for litigation.

Advise clients on the most effective methods to handle disputes while preserving business relationships.

11. Continuous Learning and Development:

Stay updated with changes in commercial law, technological advancements, and industry best practices to enhance service delivery.

Participate in educational opportunities, maintain personal networks, and join professional organizations to enhance professional growth.

Qualifications and Skills 1. Educational Background:

Master’s Degree in Law from a reputable institution, with a strong preference for specializations in commercial law, international law, or corporate law.

2. Professional Licensing:

Must possess an active advocate license recognized by the Indonesian Bar Association (PERADI), enabling legal practice within Indonesia.

3. Experience:

Minimum of five years of professional experience in a legal consulting role, with substantial experience handling legal matters for foreign-owned businesses in Indonesia.

Proven track record in managing PT PMA establishments, business restructuring, and compliance with Indonesian corporate laws.

4. Technical Skills:

Expertise in Indonesian business law, including detailed knowledge of foreign investment regulations, company law, and employment laws.

Proficiency in drafting and negotiating contracts in both English and Bahasa Indonesia.

Experience with immigration law and the processes for obtaining work and residence permits for expatriates.

5. Interpersonal and Communication Skills:

Excellent verbal and written communication skills in English, essential for drafting complex legal documents and engaging effectively with clients.

Strong negotiation and advocacy skills, capable of effectively representing clients’ interests in various business settings.

Excellent communication skills, with the ability to explain complex legal concepts to non-specialists and maintain strong client relationships.

6. Cultural Competence:

Deep understanding of Indonesian business practices and cultural nuances, crucial for advising foreign clients and facilitating their integration into the local market.

7. Adaptability and Problem Solving:

Ability to adapt to changing legal frameworks and business environments, providing proactive solutions to legal and regulatory challenges faced by clients.

Salary Package: The Commercial Law Consultant role at TraceWorthy offers a competitive salary package designed to reward both experience and expertise. The package includes a base salary of IDR 15,000,000 to IDR 18,000,000 per month, with additional benefits to ensure a comprehensive compensation plan.

In addition to the base salary, TraceWorthy covers your income tax obligations and provides BPJS Kesehatan (health insurance) and BPJS Ketenagakerjaan (employment benefits).
