Capital Markets Lawyer (Senior Associate / Partner)

About The Role We are seeking a highly skilled and experienced Capital Markets Lawyer to join our growing corporate practice. The ideal candidate will have a deep understanding of the Indonesian capital market regulations (OJK & IDX rules) and a proven track record in handling IPOs, rights issues, bonds, and public company compliance.

Key Responsibilities

Transaction Management: Lead and manage capital market transactions, including Initial Public Offerings (IPOs), Rights Issues, Debt Offerings (Bonds/Sukuk), and Mergers & Acquisitions of public companies.

Advisory: Provide high-quality legal advice to issuers, underwriters, and public companies regarding OJK regulations, IDX listing rules, and ongoing disclosure obligations.

Drafting & Due Diligence: Oversee and execute comprehensive legal due diligence; draft and negotiate transaction documents, including prospectuses, legal opinions, and commercial agreements.

Liaison: Act as the primary point of contact with regulatory authorities (OJK, IDX) and other supporting professionals (notaries, underwriters, auditors).

Mentorship: (For Senior/Partner level) Mentor junior associates and contribute to the firm’s business development initiatives.

Requirements (Must-Have)

Experience: Minimum of 3+ years of intensive experience in Capital Markets law at a reputable law firm in Indonesia.

OJK Qualification:

Must hold a valid OJK Registration (STTD) as a Capital Market Legal Consultant; OR

Have passed all HKHPM (Himpunan Konsultan Hukum Pasar Modal) certification exams and is in the process of registration.

Education: Bachelor of Laws (S.H.) from a reputable university; a Master’s degree (LL.M/M.Kn) is an advantage.

Licensure: Holding a PERADI license is mandatory.

Language: Professional fluency in English and Indonesian (Bahasa Indonesia) is non-negotiable. Ability to draft complex legal documents in both languages.

Preferred Qualifications

Strong network within the OJK and IDX communities.

Experience in handling cross-border transactions.

Mandarin Chinese proficiency (highly desirable for dealing with international investors).

Strong leadership skills and business acumen.
