Job Description
Key Responsibilities:
Corporate Actions & Governance:
Lead and advise on corporate restructuring, mergers & acquisitions, joint ventures, and other strategic transactions.
Draft, review, and negotiate complex commercial agreements, including EPC contracts, supply agreements, and service contracts.
Ensure compliance with corporate governance standards across multiple jurisdictions.
Regulatory & Compliance:
Monitor and interpret laws, regulations, and industry standards affecting oil & gas operations globally.
Advise on licensing, permits, and environmental compliance requirements.
Develop and implement compliance programs to mitigate legal risks.
Cross-Border Operations:
Provide legal guidance on international projects and multi-jurisdictional operations.
Manage legal aspects of foreign investments, tax implications, and dispute resolution.
Risk Management & Dispute Resolution:
Identify potential legal risks and propose proactive solutions.
Handle litigation, arbitration, and negotiations with external counsel when necessary.
Stakeholder Engagement:
Collaborate with senior management, business units, and external advisors to support strategic objectives.
Represent the company in legal matters before regulatory authorities and industry bodies.
The Successful Applicant
Qualifications & Experience:
Law degree (LL.B or equivalent); admission to practice in at least one jurisdiction.
Minimum 10+ years of legal experience, with at least 5 years in oil & gas or energy sector.
Proven track record in managing corporate actions, and multi-jurisdictional operations.
Strong knowledge of international commercial law, regulatory compliance, and dispute resolution.
Excellent negotiation, drafting, and communication skills.
Ability to work in a fast-paced, dynamic environment with multiple stakeholders.
Familiarity with EPC contracts, upstream/downstream operations, and energy regulations.
Experience in cross-border operations.
Fluency in English; additional languages are a plus.
