Founded in 2008 and based in the Netherlands,
Total Specific Solutions (TSS)
is the leading European vertical market software (VMS) company servicing several sectors such as healthcare, local government, financial services, real estate, retail and legal services.
Since 2014, TSS is the European platform of the Canadian group Constellation Software Inc. (CSI), located in Toronto and listed on the TSX (CSU:CN). TSS is continuously expanding its product portfolio through internal research and development as well as mergers and acquisitions. Having executed on nearly +120 transactions since our inception in 2006, we have never sold a company.
TSS invests exclusively in B2B vertical market software companies dedicated to specific or niche markets. Our investment philosophy is based on a “buy and hold” strategy: Once we acquire a company we never sell it ("perpetual ownership") and we operate our businesses in an autonomous and decentralized management structure providing support through coaching and sharing CSI and TSS best practices.
Over the past years, TSS has experienced exponential growth across Europe, in particular following an active acquisition strategy. TSS is already present in Spain, France, Italy, Belgium, Germany, UK, Ireland, Denmark, Sweden, Finland, Poland, Iceland and Romania.
TSS Spain currently owns 13 companies in Spain and is pursuing further expansion of its presence across the country and in Latin America in the upcoming years.
The TSS Spain team is based in Madrid. We are currently +50 people in the office (M&A, legal, business development, business controlling and support).
Job description
The M&A Associate will be part of the Spanish M&A team at TSS. You will work in direct contact with the Head of M&A and will liaise with the business development team (deal origination), the legal counsel and the operational teams in charge of portfolio companies.
More generally, the M&A Associate will be part of the European M&A team
Responsibilities
Developing in-depth knowledge of VMS companies;
Initiating contact with potential target companies;
Able to build relationships needed (direct with potential targets and/or Corporate Finance Boutiques and other multi-players in the market) to realize acquisition deals (deal-size/ company size
Financial analysis and modelling;
Assessing target companies gauging the possibility of a potential acquisition forming his/ her own opinion about the target;
Able to actively manage the whole M&A process from your responsibility as M&A Associate
o You’re genuinely interested in the story of each prospect/company and its shareholders.
o Able to make a quick assessment of the main drivers of the current performance of the company
o You can estimate the potential of the company and how that potential can be capitalized by means of
Support in the coordination of due diligence processes in connection with other TSS teams (legal, finance, HR, commercial, technology, etc.);
Preparation of memoranda for internal and external use.

Requirements
Fluency in Spanish and in English is essential (verbal and written):
Educational level: Bachelor of Business Administration or similar degree;
5 to 6 years of experience in investment banking (M&A advisory, transaction services, corporate M&A or private equity);
High level of Excel, Word and Power Point;
Outstanding qualitative, technical and analytical skills;
Strong verbal and written communication skills;
Aptitude to work collaboratively in a team environment;
Robust organizational and time management skills;
Excellent attention to details;
Strong work ethic and ability to work well under pressure;
Interest in the software / technology sector.
