Overview

Senior Legal Counsel role at Hydro One. This is a full-time position located at Hydro One’s head office in Toronto with occasional travel to meet with various lines of business. Hydro One currently has a hybrid work model (a combination of remote and in-office work). Hydro One is the largest electricity transmission and distribution provider in Ontario, serving nearly 1.5 million customers. It’s an exciting time to join the Hydro One team. Hydro One Networks Inc. is seeking a Senior Legal Counsel to join our Law Department, reporting to an Assistant General Counsel. Responsibilities

Draft, negotiate, review and advise on complex construction contracts; this will be the primary focus of the role, leveraging extensive knowledge and experience with various construction execution models. Provide legal, business and strategic advice on a wide range of corporate and commercial matters to various lines of business and senior executives, including the General Counsel. Negotiate, advise on, draft and/or review other commercial contracts (e.g., joint use, telecommunications services agreements, leases, M&A transactions, sponsorship agreements, and agreements for new products and services). Review and advise on legislation and regulations, and on regulatory instruments issued by the Ontario Energy Board. Incorporate entities as needed for transactions. Anticipate and manage associated legal risks related to business strategy and operations. Participate in the functions and strategic plans of lines of business and provide training to assist them in achieving corporate goals. Manage work performed by external counsel and act as the interface between external counsel and Hydro One LOBs. Assist other members of the Law Department. Serve as a key resource on complex and critical issues. Selection Criteria

Member in good standing with the Law Society of Ontario. Minimum 10 years of post-call experience as a corporate/commercial lawyer in a law firm or in-house legal department. Knowledge and experience with outsourcing, supply chain, technology supply and licensing agreements, cloud services agreements, and related procurement processes (RFTs, RFPs, RFIs, RFQs) and related disputes; asset if applicable. In-house legal experience and knowledge of the energy sector or regulated industries are assets. Able to collaborate with other lines of business and advise on legal risks and business strategies across the company. Strong leadership, autonomy, excellent legal and business acumen, and good judgment to provide value-added legal advice in a high-pressure environment. Proficiency with MS Office (Word, Excel, PowerPoint). Additional Information
