Overview
The Senior Legal Counsel will lead the Canadian litigation function and provide legal support on cannabis-related regulatory matters. This role manages litigation, arbitration, mediation, and other dispute matters affecting Tilray Brands, Inc. and its subsidiaries. You’ll also support regulatory compliance for Tilray’s Canadian cannabis business, including the Cannabis Act and Regulations, Provincial Cannabis Handbooks, and applicable privacy laws. The role reports directly to the Global General Counsel, Mitchell Gendel, and works closely with the broader legal team.
In this capacity you will primarily be responsible for the efficient management and resolution of a range of litigation including contractual, employment, securities, and real estate matters by directing and managing outside counsel. You will ensure that the team maintains compliance, mitigates risks, and stays within legal budget. This is a leadership role requiring relationship-building across the organization and the ability to translate complex legal principles into practical business solutions.

Key Accountabilities
Serve as point person for Canadian and corporate litigation, mediation, arbitration, and other dispute resolution files (including securities class actions, commercial/contractual matters, employment, and real estate) affecting the company and its subsidiaries
Support litigation matters for U.S. and foreign subsidiaries, including coordination with external counsel and management of multi-jurisdictional disputes
Liaise between business units and external counsel with guidance and instructions
Assist with managing and responding to document production and e-discovery requests
Manage external legal counsel including budgets, fee proposals, retainers, and invoice reviews
Prepare quarterly litigation matter summaries, reserves, and audit reporting
Provide feedback and guidance on draft pleadings
Provide feedback and guidance on proposed settlement and resolution opportunities
Keep apprised of developments in legislation and case law and assess such developments for designated lines of business
Conduct legal research and prepare opinions for designated business units
Develop and sustain good working relationships with business partners by facilitating open communication
Maintain and manage Tilray’s record retention and information management policies and processes
Respond to subpoenas and government access to information requests
Provide privacy, employment, and labor law advice as needed, including policy development and privacy law compliance
Assist with internal employment investigations
Track and report on litigation outcomes, budget adherence, and regulatory audit results
Qualifications
Juris Doctorate/LLB
Fluency in English is required; French fluency is an asset (particularly for regulatory filings in Quebec), but not required
4-8 years of solid and progressive litigation experience at a leading law firm and/or in-house at a leading company
Called to the Bar of the Law Society of Ontario or le Barreau du Québec and in good standing
Strong skills in risk management, litigation strategy, and acting as a trusted business advisor
Experience working with outside law firms and managing legal budgets is an asset
Proficient knowledge of applicable legal and regulatory environments within practice areas
Strong communication skills (oral and written), excellent interpersonal skills, and client service orientation
Excellent research, drafting, and analytical skills
Attention to detail and ability to make sound legal recommendations
Ability to work independently and in collaboration with others
Initiative and sound judgment
Excellent time-management and prioritization skills
Experience in securities litigation and/or Canadian securities regulation is an asset
Knowledge of Canadian privacy legislation and responding to information requests
Knowledge of Ontario and/or Quebec employment law
