Job Description

* Oversee the client facing team to strategize how events will be executed and provide input and oversight on processes and fee proposals. The Head, Corporate Actions has ultimate responsibility for fees, operational feasibility of Corporate Actions events and corporate liability.* Responsible for managing the overall profitability ( P&L), revenue, expenses, and budget for Corporate Action Events for all of TSX Trust* Oversee operational team and maintain oversight of Corporate Action events through appointment, negotiation, operational implementation and processing. Oversight responsibilities include reviewing of documentation, oversight of implementation of required processes to ensure success of event, coordinating with external stakeholders (e.g. CDS and DTCC, other transfer agents, etc.), liaising with other business units including IT and cash management, planning of staffing requirements, coordinating required reporting, coordinating required tax reporting, and ensuring accurate and timely billing.* Maintain overall accountability for all projects carried out in the department, ensuring implementation of required processes, successful completion of projects, and that all client requirements/expectations are met.* Manage any escalations reported by teams and track and identify opportunities for improvement.* Liaise with other departments to resolve issues and address matters of concern.* Overall responsibility for department revenue and expenses.* Identify productivity and procedural improvements that will result in cost savings and/or improved services.* Provide statistical and management reports, as required.* Ensure compliance with policies, procedures and regulatory requirements.* Complete quarterly Risk Self-Assessment for department* Participate in maintenance of the Business Continuity Plan for the department* Periodic review & update of department Policy and Procedure Manual* Take an active role in identifying, monitoring, managing and reporting on risk within the business unit and fulfilling the requirements of the DRO mandate* Responsible for assessing business unit compliance with applicable regulatory requirements and fulfilling the requirements of the DCO mandate* Monitor for any incidents or near misses and work with teams on implementation of remedial processes and procedural updates.* Ensure compliance with policies, procedures and regulatory requirements.* Deep expertise in Corporate Action events* Financial services industry experience; Trust company experience ideal* College diploma or university degree, or equivalent experience.* Canadian Securities Course, an asset.* Minimum of 7 to 10 years’ experience in similar role, including management responsibilities* Bilingual in French and English, an asset.* Proficient in Microsoft Office and Google Suite* Communication: Excellent written, verbal and listening skills* Adaptable: Flexibility and willingness to work simultaneously on a wide range of tasks and projects and ability to prioritize* Change Agent: Enables co-workers/subordinates to work effectively.
