Legal Counsel

Our Client is a leading financial services company with a strong presence in the Canadian market. Responsibilities The Legal Counsel will be responsible for providing legal advice and support across a wide range of investment and enterprise matters, including: Drafting key documents such as prospectuses, material contracts, corporate documents, and regulatory applications/filings for ETF creation and distribution. Drafting and negotiating agreements (e.g., investment management, sub-advisor, dealer, broker, custody, and employment agreements). Monitoring industry and regulatory developments impacting the business. Advising on securities laws and regulatory changes, including compliance with National Instrument 81-102 Investment Funds and other applicable regulations. Identifying legal risks and implementing risk mitigation strategies. Building and maintaining effective relationships with internal and external stakeholders. Managing external legal counsel when required. Supporting and collaborating with the compliance team on a variety of matters. Assisting with other legal issues as they arise. Requirements Law degree from a nationally recognized law school. Membership in good standing with the Law Society of Ontario. 1-6 years of corporate/securities law experience at a law firm, financial institution, or regulatory body. Strong knowledge of investment funds, mutual funds, ETFs, and the Canadian regulatory environment. This is a full-time, associate-level position in the legal department.
