Job Description
You will join a dynamic and collegial team of legal professionals in the Legal Department and be involved in a wide range of activities working to advance strategic priorities while ensuring proper risk management. Key Accountabilities
Analyzing and understanding corporate governance laws and responsibilities across jurisdictions where TD operates, the related internal controls to mitigate risks, and rationalizing controls to simplify and streamline controls and the regulatory inventory for the RCM program
Evolving regulatory change management by developing, implementing and executing targeted sustainable processes for regulatory change management; monitoring regulatory changes in corporate governance through legal, regulatory and industry sources; and documenting procedures
Being familiar and staying current with legal, regulatory and industry developments in corporate governance in the regulatory environment in which TD operates as well as identifying and analyzing emerging trends and evolving regulatory requirements
Supporting the evolution of CSG's RCM program, work with TD corporate secretaries, Compliance partners and other stakeholders to design and implement transformational changes and enhance workflow
Acting as a subject matter expert on corporate governance and RCM
Supporting the CSG team with overall management and evolution of CSG's RCM program, processes, reporting and deliverables
Contributing to colleague development within CSG, the Legal Department and other stakeholders on relevant legal issues or regulatory developments
Applying expertise and thinking creatively to address unique or novel matters and working collaboratively with colleagues and partners across CSG, Compliance and corporate functions
Contribute to high-priority TD Legal Department initiatives, including knowledge management and workflow improvement
Broader work or accountabilities may be assigned as needed
Job Requirements
Licensed and qualified to practice law in Ontario.
Minimum 3 years of experience practicing law in the regulatory and/or corporate governance areas.
High energy, curious and enthusiastic.
Strong analytical, problem-solving, and decision-making skills.
Excellent written and verbal communication skills, including the ability to brief senior management on complex issues in a clear, concise, and practical way.
Strong organization skills and ability to work in a fast-paced, detail‑oriented environment and manage multiple deadlines and priorities.
