What is the opportunity? As Counsel, you will be a key member of RBC’s Procurement Legal Team, advising the Royal Bank of Canada and its subsidiaries on third‑party transactions, emphasizing technology and intellectual property licensing. You will also advise business and functional partners on contract interpretation, legal risks and mitigation strategies.

What will you do?

Advise RBC and its subsidiaries on structuring and documenting complex third‑party transactions involving technology, intellectual property licensing, information systems, and services.

Provide strategic legal advice and assistance to business partners on structuring, strategy, negotiation, drafting, management, and interpretation of contracts.

Advise on contract interpretation, risks and mitigation, supplier engagement, and relationship issues.

Draft, review and negotiate supply arrangements with third‑party vendors.

Provide training and guidance to business partners on legal templates and issues.

Perform legal research and draft memoranda of law as needed.

Assist in developing and refining RBC’s third‑party templates.

Perform or assist on special projects as required.

What do you need to succeed? Must‑have

Law degree (LLB or JD) from a recognized law school.

3+ years’ experience in corporate commercial contract drafting and negotiation at a top‑tier law firm or major corporation.

Strong foundational knowledge of third‑party commercial laws and terms (confidentiality, indemnities, liability limits, intellectual property) and financial services laws relating to third parties (privacy/cybersecurity, anti‑money laundering, consumer banking).

Ability to analyze legal risk within business context, demonstrate sound judgement and interpersonal skills.

Nice‑to‑have

In‑house experience at a large, multinational bank or diversified financial institution.

Strong written and verbal communication skills and ability to build relationships across the business.

Ability to work autonomously, handle large volumes of work and balance competing demands.
