Reporting to the Associate General Counsel, the Vice President, Legal Affairs - Transactions & Capital Markets is responsible for providing senior-level legal leadership in overseeing and directing legal strategy and execution for complex mergers & acquisitions, joint-ventures, and other strategic commercial transactions. The role will also provide legal support for Emera’s capital markets and financing initiatives, complimenting the work led by our experienced senior counsel.
The ideal candidate will have exceptional commercial acumen, demonstrated experience leading and executing on M&A files and complex corporate transactions, and ideally, experience with capital markets, financing, and securities laws. A strong background in energy, regulated utility or adjacent sectors is highly advantageous. Experience advising dual-listed TSX/NYSE issuers is an asset.
This is a senior leadership position within Emera’s legal team, with significant visibility to executive leadership. The successful candidate will play a central role in advancing and shaping the company’s long term strategic direction with opportunity for future progression. This role is based out of Halifax, Nova Scotia. Business travel may be required on occasion.
Strategic Transactions
Lead the legal strategy and execution of domestic and cross-border M&A, joint ventures, partnerships, and other strategic investments across multiple jurisdictions‑border M&A, asset acquisitions and divestitures, joint ventures, partnerships and strategic investments across multiple jurisdictions.
Work closely with Emera’s business development team and advise executive leadership and the board of directors on transaction structuring, legal risk, regulatory implications, and integration considerations‑country operations.
Oversee legal due diligence processes, identify material risks, and develop mitigation strategies aligned with enterprise objectives.
Efficiently draft, negotiate, and manage complex commercial agreements, including purchase and sale agreements, joint ventures, and shareholder arrangements.
Ensure transactional activities comply with relevant regulatory frameworks, including energy regulation, securities laws, competition/antitrust requirements, and foreign investment rules.
Support regulatory approval processes, filings, and stakeholder engagement with regulators, government authorities in multiple jurisdictions.
Capital Markets & Financing
In collaboration with our senior counsel, provide legal support to Emera’s finance and treasury teams on capital markets and financing activities, supporting the needs of our business segments, including debt issuances, equity or hybrid offerings, project finance, credit facilities, securitizations, and other structures.
Coordinate with external counsel, financial institutions, and underwriters across jurisdictions to ensure timely execution of initiatives.
Advise on compliance with applicable securities laws, continuous disclosure, and stock exchange rules.
Manage and negotiate contracts and other corporate documentation in support of the company’s financing and capital markets activities.
Leadership & Enterprise Partnership
Bring a grounded and business-focused approach to legal practice, with the ability to balance legal risks with commercial realities to enable informed decision-making.
Serve as a trusted legal advisor to senior leadership on growth strategy, market expansion, and portfolio transformation initiatives.
Be a key senior member of a high-performing legal team, including mentoring and helping to develop our internal legal resources, as well as Emera’s articling clerk program.
Effectively manage external counsel, setting clear expectations and ensuring high-quality and cost-efficient delivery of legal services, while building on existing strong partnerships.
Foster strong and positive collaboration across business teams such as finance, treasury, strategy, and business development, in support of enterprise-wide objectives‑wide objectives.
Qualifications & Experience
Juris Doctor (JD) from an accredited law school.
Licensed member of a Canadian Law Society required; must be eligible to join the Nova Scotia bar.
Minimum of 10 years of progressive legal experience, with a strong focus on transactions, mergers and acquisitions, and capital markets. Both top-tier law firm and senior in‑house leadership experience will be considered.
Demonstrated success leading complex, high‑value M&A transactions, joint ventures, and other commercial transactions, including cross‑border structures.
Experience advising public issuers, structuring capital markets and financing transactions.
Solid background in securities law, including with dual‑listed issuers would be an asset.
Experience advising or working within energy, regulated utility, renewables, infrastructure, or adjacent industry sectors is preferred.
Proven ability to provide clear, strategic legal advice to executive leadership and boards.
Ability to apply discretion, sound judgment, and manage multiple projects concurrently in a fast‑paced environment.
Prior successful experience managing, mentoring and developing high‑performing teams is favorably regarded.
