We are seeking a Commercial Leasing Lawyerto manage a sophisticated portfolio of Ontario-based leasing matters. This role demands a high level of expertise in balancing the interests of landlords and tenants across retail, medical, and industrial sectors. The ideal candidate isa proactive problem-solver who anticipates how physical building changes (like renovations or security breaches) impact a tenant’s business operations and can pivot between landlord and tenant perspectives with professional diplomacy.
Key Responsibilities:
·Specialized Drafting:Prepare and negotiate complex commercial leases for diverse clients, including medical professionals (mental health/privacy-sensitive), retail chains, franchisors and industrial operators. Review and drafting of documents shall include but not be limited to:
o Primary Lease Documents: Net, Double Net, and Triple Net (NNN) leases, Gross/Modified Gross leases, and specialized Percentage Rent agreements for retail clients.
o Preliminary & Ancillary Agreements: Letters of Intent (LOIs), Offers to Lease, and Term Sheets.
o Mid-Term Documentation: Lease Amending Agreements, Extension and Renewal Agreements, and License Agreements (e.g., for storage or signage).
o Transfer & Security Instruments: Assignments of Lease, Sublease Agreements, and Landlord’s Consents to Transfer.
o Third-Party & Financing Documents: Subordination, Non-Disturbance and Attornment Agreements (SNDAs), Estoppel Certificates, and Indemnity/Guaranty Agreements.
o Termination Documents: Surrender of Lease Agreements and Mutual Termination Agreements.
·Dispute Advocacy:Manage high-stakes conflicts involving rent abatements, structural renovations (e.g., quiet enjoyment disruptions), and tenant defaults under the
Commercial Tenancies Act .
·Strategic Advisory:Act as the lead legal contact for sophisticated corporate tenants to resolve operational disputes.
Qualifications:
Juris Doctor (JD):Licensed and in good standing with the Law Society of Ontario.
Leasing Expertise:Minimum 5 + years of focused experience in Ontario commercial leasing and real estate law.
Communication:Exceptional drafting skills with the ability to provide clear, "plain language" strategic advice.
Technical Proficiency:Skilled in legal technology and navigating complex insurance/claim protocols.
Compensation for this position will vary from associate rates to an income partner mechanism that results in a sharing of revenue.
