Position Summary
TheDirector,CorporateDevelopmentisresponsibleforleadingthecompany’sglobalgrowthstrategythroughmergersandacquisitions(M&A),jointventures,strategicpartnerships,capitalmarketstransactionsincludingprojectfinancing,equityfinancingsandroyalty/streamingfinancings,andportfoliooptimizationinitiatives.Thisexecutivewillplayacriticalroleinidentifying,evaluating,structuring,andexecutingtransactionsthatenhanceshareholdervalueandstrengthenthecompany’spositionintheminingsector.
ThecandidatewillworkcloselywiththeCEOtoprepareinvestorpresentations,managementshareholderregisters,marketingplans,andparticipateinmarketingactivities,includinginvestorconferences.
The ideal candidate brings deep investment banking/corporate development experience, strong financial and valuation expertise, and comprehensive knowledge of U.S. government regulations applicable to mining, securities, foreign investment, environmental compliance, and cross-border transactions.
Key Responsibilities
Strategic Leadership
Developandexecutethecorporatedevelopmentstrategyalignedwithlong-termbusinessobjectives.
Providemarketintelligenceandcompetitiveanalysisacrosscriticalminerals,preciousmetals,basemetals,andenergytransitioncommodities.
Mentoranddevelopcorporatedevelopmentandfinancialanalysisteammembers.
Mergers & Acquisitions
Buildandmanagecomplexfinancialmodels(DCF,NAV,LBO,comparabletransactions).
Structuretransactionsinvolvingpublicandprivatecompanies,includingcross-borderdeals.
Coordinatewithlegal,tax,technical,ESG,andregulatoryadvisors.
Leadequityanddebtfinancinginitiativesincollaborationwithbanksandfinancialinstitutions.
Maintainrelationshipswithinvestmentbanks,privateequityfirms,sovereignfunds,andinstitutionalinvestors.
Regulatory & Government Compliance
EnsuretransactionscomplywithapplicableU.S.regulations,includingbutnotlimitedto:

Antitrustregulations(DOJ/FTCreview)
CFIUSconsiderationsforforeigninvestment
Environmentalandland-useregulations
Engagewithfederalandstateregulatoryagenciesasrequired.
Supportgovernmentrelationsstrategyrelatedtocriticalmineralsandnationalsecurityinitiatives.
Cross-Functional Leadership
Partnerwithoperations,geology,engineering,ESG,andlegalteamstoassessassetqualityandrisk.
Leadintegrationplanningandpost-mergervaluerealization.
Investor Relations
SupporttheCEOandseniorleadershipteamininvestorrelationsactivities,includingpreparationofinvestorpresentations,factsheets,transactioncommunications,andotherinvestor-facingmaterials.
Monitormarketsentiment,analystcoverage,andpeerperformancetoinforminvestormessagingandpositioning.
Assistwithpreparationforinvestormeetings,roadshows,andinvestorconferences,includingbriefingmaterialsandpresentationsupport.
Maintainandanalyzethe company’sshareholderregisterandprovideinsightsoninvestorownershiptrends.
Qualifications
Education
Bachelor’sdegreeinFinance,Economics,MiningEngineering,Geology,orrelatedfieldrequired.
MBAoradvanceddegreestronglypreferred.
Experience
Corporatedevelopmentwithinminingormetals
DemonstratedtrackrecordexecutingcomplexM&Atransactions($100M+).
ExperiencewithU.S.regulatoryframeworksaffectingminingandpubliccompanies.
Strategicthinkerwithstrongcommercialacumen
ExecutivepresenceandBoard-levelcommunicationskills
Regulatoryandcomplianceknowledge
Highethicalstandardsandgovernanceorientation
Travel Requirements
Domesticandinternationaltravel(15–30%)dependingontransactionactivity.
