Your Impact
OpenText is seeking a commercial Senior Legal Counsel to join our in‑house legal team performing commercial transactional work for an established but growing line of business. The role focuses on negotiating and drafting a wide variety of commercial technology agreements, supporting Americas‑region sales activity, including cloud services agreements, software licenses, and professional services. It also involves acting as a trusted legal advisor, working with cross‑functional groups, researching novel product offerings, and handling escalations.
The successful candidate will perform analysis, provide guidance on company transactions and new go‑to‑market products, evaluate risk, update templates, create and deliver training, and manage projects that benefit the Legal team and department.

What You Need To Succeed
Interest in learning new technologies and business models; vision to create new templates and streamline processes; willing to make recommendations and participate in decision‑making
Strong experience working in a legal department or law firm handling commercial matters
8+ years of experience conducting contract negotiations, preferably concerning technology
Enthusiastic, hard‑working, enjoys working in a team environment, and confident at a senior level with lawyers and other professional colleagues
Experience with regulated industries; understanding or interest in data privacy/security a plus
Hands‑on experience drafting, negotiating, and providing guidance on a variety of agreements: software licensing, hosted/cloud products, professional services contracts, maintenance and support agreements
Knowledge of working within the IT sector and assisting sales executives on commercial and sales transactions
Background in contract support for a variety of business functions: sales, marketing, engineering, other internal clients
Ability to advise management on risks across the business and mitigation strategies
Good judgment, integrity, and attention to detail
Think creatively, act professionally
This role is a hybrid position (in‑office 3 days a week), with OpenText offices in Mississauga, Richmond Hill, Waterloo, Toronto (Canada) and Alpharetta, Gaithersburg (US).
