In-House Counsel, Corporate & Commercial,

to join their executive team. The role is full time and ongoing.

Location:

Melbourne CBD

Salary:

Negotiable in the range $100k to $110k plus superannuation per annum

The Role

Reporting directly to the executive leadership team, you will serve as the strategic legal pillar of the business. The role oversees all legal aspects of commercial transactions, fund operations, and corporate matters.

You will act as the primary legal advisor on complex property and mortgage transactions, ensuring that strict security standards and compliance obligations are always met.

Key Responsibilities

Provide strategic legal oversight of commercial transactions and corporate matters, including fund transactions, mortgage and securities arrangements, and comprehensive document management

Draft, review, and advise on a diverse range of commercial contracts and legal instruments; ensure all documentation aligns with current legislative requirements and business objectives

Manage relationships with external counsels across transactional, litigation, and general legal matters; coordinate efficient processing of complex transactions with strict adherence to legal and regulatory standards

Coordinate closely with external solicitors to facilitate efficient processing of mortgage and security transactions, ensuring compliance with legal standards and regulatory requirements.

Deliver comprehensive legal advice on commercial property transactions, aligning all documentation with current laws and business objectives.

Support corporate governance, compliance obligations, and internal legal advisory to senior management and stakeholders

Advice on corporate law and compliance issues relevant to financial services operations

About You We are looking for a proactive, solutions-oriented lawyer who can ensure strict legal and regulatory compliance.

Key Requirements

Bachelor of Laws (LLB) or Juris Doctor (JD) and admission to practice law in Australia, holding (or eligible for) an unrestricted Practising Certificate.

Minimum 3 years of PAE, preferably with a background in banking & finance, corporate law, commercial property, or funds management.

Proven experience handling mortgage and securities arrangements, private debt, or property development transactions.

Strong knowledge of the regulatory framework surrounding wholesale investing and financial services (AFSL experience is highly advantageous).

The ability to confidently manage external legal partners and coordinate complex, time-sensitive transactions.

Sharp commercial acumen, excellent stakeholder management skills, and the ability to communicate complex legal concepts to non-legal executives.

Working knowledge of legal technology platforms including PEXA, Lextech, LoanCloser
