About The Role / Key Responsibilities Law Squared is seeking an experienced senior-level corporate lawyer to join its growing national corporate team. This role is suited to a commercially minded lawyer with strong transactional experience who enjoys working closely with founders, boards and investors across a broad range of corporate and growth matters. The successful candidate will play a key role in leading and delivering complex transactions, mentoring junior lawyers, and contributing to the continued growth and reputation of the corporate practice.

Key responsibilities of this role include but are not limited to:

Leading and managing corporate transactions, including private capital raisings, venture capital investments, growth equity and strategic investments

Advising on mergers and acquisitions, including share and asset acquisitions, disposals, restructures and exits

Running matters end to end, including transaction structuring, due diligence, negotiation and completion

Drafting and negotiating transaction documents, including share sale agreements, investment agreements, shareholders agreements and ancillary documents

Advising clients on broader corporate matters as required, including corporate governance, board matters, shareholders arrangements and general Corporations Act advice

Supporting founders, boards and executive teams with practical, commercial legal advice

Mentoring and supervising junior lawyers within the corporate team

Contributing to practice development, knowledge sharing and internal capability building

Building and maintaining strong client relationships and supporting business development initiatives

About You The ideal candidate:

Have a bachelor’s degree in law (LLB) or equivalent qualification

Be admitted as a solicitor in Australia

Have minimum 5 years post admission experience, ideally gained within a reputable corporate or commercial practice

Have strong transactional experience in capital raisings and M&A is essential

Have experience advising startups, scale ups, SMEs or mid-market clients is highly regarded

Have broader corporate experience in shareholders agreements, employee share schemes, corporate governance and general advisory work is desirable but not a prerequisite

Have strong drafting, negotiation and project management skills

Have a commercial mindset with the ability to deliver clear, pragmatic advice

Be comfortable working in a technology-enabled legal environment and open to adopting new tools, platforms and ways of working

Have the ability to manage multiple matters and deadlines autonomously

Be confident working directly with clients and senior stakeholders
