The Role
We are seeking an experienced corporate/commercial/litigation lawyer (minimum 3+ years PQE) to join our team at either Associate or Senior Associate level. Whilst the position is remote, the successful candidate must reside in or around Melbourne.
Responsibilities include:
Autonomously run litigation matters (with appropriate supervision depending on complexity and risk profile).
Draft court documents, including pleadings, affidavits, outlines of submissions, and proposed orders.
Provide strategic advice to clients, including conducting research and litigation‑focused legal due diligence.
Attend court appearances, mediations and trials, and monitor and comply with court timetables.
Brief and liaise with counsel and expert witnesses, including preparing briefs and coordinating evidence.
Advising on a broad range of corporate transactions, including mergers and acquisitions, asset and share sales, joint ventures, investments, and capital raisings (including equity, debt and convertible instruments).
Drafting, reviewing, and negotiating transactional and investment documentation, including sale agreements, shareholders’ agreements, subscription agreements, and related ancillary documents.
Providing advice on corporate governance and compliance, including board and shareholder matters, directors’ duties, and regulatory obligations.
Advising on commercial arrangements such as supply, distribution, services, licensing, and strategic partnership agreements.
Supporting legal due diligence processes, including managing data rooms, identifying key legal risks, and preparing clear risk summaries.
Supporting regulatory and compliance aspects of corporate transactions, including ACCC notifications, ASIC notifications, and disclosure obligations.
Working closely with internal client stakeholders, including internal counsel, executives, and external advisers to deliver practical, commercially focused advice.
Manage cost disclosure obligations and ongoing cost communications with clients.
Contributing to the development and improvement of internal precedents and processes.

About You
Practising certificate with minimum 3+ years PQE in corporate/commercial/litigation
